Background: To implement its global product portfolio strategy, the company needs access to a technology it currently lacks. As part of its M&A efforts, a target company in Switzerland has been identified from which the company intends to acquire the relevant business unit
Assignment: Conduct a due diligence analysis of sales and go-to-market structures (pre-merger), then develop a carve-out concept prior to closing the acquisition (pre-merger), and define an integration plan (post-merger) for implementation.
Result: Existing contractual obligations with customers and sales partners were clarified, and potential channel conflicts were identified. A plan was developed outlining how the organization will handle transactions on Day 0 (closing date) and how the new organization will be integrated into the group 6, 12, and 24 months after closing.
Initial Situation: Following the acquisition of a new business unit, the goal is to successfully continue core operations and achieve the synergy targets defined in the M&A plan.
Assignment: Ensure business continuity, engage all stakeholders (customers, suppliers, employees), and achieve business objectives.
Result: From the closing date onward, managed the entire business in the role of CEO & Chairman of the Board (formally). Within 6 months, rolled out existing products under the corporate brand for the global market, launched a new "Next Generation" development project, and simultaneously continued to serve the traditional market under the old brand name. Successful, phased integration into the Group's divisional structure; implementation of various change processes, yet without any loss of employees during the integration. Revenue targets were not fully met due to the global economic crisis.
